BENVENUTI SU KNOWLY. Si invitano gli utenti a leggere con ATTENZIONE I TERMINI E LE CONDIZIONI DEL SERVIZIO, in quanto contengono importanti informazioni sui diritti e i doveri degli utenti che utilizzano il presente sito e i suoi servizi.

PREAMBOLO


I presenti termini e le presenti condizioni del servizio (di seguito denominati “Condizioni” o “Contratto”) disciplinano l'utilizzo del sito web Knowly accessibile al seguente URL: knowly.co o da qualsiasi sottodominio a esso associato (di seguito denominato “Sito”).

Il Sito è una piattaforma online che permette a utenti in cerca di lezioni private (di seguito denominati “Studenti”) di individuare ed entrare in contatto con utenti che intendono fornire lezioni private (di seguito denominati “Insegnanti”) e con qualsiasi altra entità per conto della quale gli utenti accettano le seguenti Condizioni (collettivamente denominati “Utenti”) e di svolgere lezioni online attraverso una piattaforma di videoconferenza integrata. Un Insegnante può creare un Corso o una Lezione sul Sito e gli Studenti possono cercare e prenotare Corsi o Lezioni direttamente sul Sito. Con il termine “Corso” o “Lezione” si intende una lezione su argomenti specifici così come creata, proposta, elencata e svolta da un Insegnante e resa disponibile tramite il Sito. Con il termine “Articolo” si intende un articolo del Contratto.

Il presente Sito e i servizi annessi sono gestiti dalla società Knowly Ltd (di seguito denominata “Knowly”), con sede legale a Londra, 2 Woodberry Grove, N12 0DR, Regno Unito.

Il presente Contratto tra Knowly e gli Utenti si intende concluso nelle modalità indicate all’Articolo 1, “Oggetto del Contratto”. Si prega di leggere con attenzione le presenti Condizioni prima di utilizzare o continuare a utilizzare il Sito. Gli Utenti non devono accettare il presente Contratto nel caso in cui non ne abbiano compreso appieno il significato. In caso di discordanza tra le Condizioni e quanto diversamente disposto all’interno del Sito, le Condizioni prevarranno. Il mancato esercizio di un diritto o la mancata applicazione di una disposizione da parte di Knowly non costituirà rinuncia a far valere in futuro tale diritto o disposizione. Nel caso in cui una qualsiasi clausola del presente Contratto sia dichiarata invalida o inefficace da un tribunale, le restanti clausole rimarranno pienamente in vigore ed efficaci e la clausola invalida o inefficace verrà sostituita da una nuova disposizione che soddisfi le finalità che le parti di questo Contratto si erano prefissate in origine.
Nel presente Contratto i termini indicati al singolare includono il plurale e viceversa; i termini che denotano un genere includono l’altro genere.

In caso di conflitto tra le disposizioni di cui alla versione linguistica in inglese delle presenti Condizioni e quelle di cui a una delle relative traduzioni in altre lingue, le disposizioni della versione in lingua inglese prevarranno. La traduzione delle presenti Condizioni in Italiano è stata realizzata esclusivamente per facilità d’uso.

1.    Oggetto del Contratto


Il presente Contratto regola l’accesso e l’utilizzo del Sito per gli scopi descritti nel preambolo delle presenti Condizioni (di seguito denominati “Servizi”).

Il Sito funge da piattaforma online che permette a Insegnanti registrati di offrire Corsi e di insegnare online a Studenti registrati.

Knowly si limita a mettere a disposizione una piattaforma digitale con la tecnologia necessaria a permettere a Insegnanti e Studenti di incontrarsi online, organizzare la prenotazione di Corsi, effettuare pagamenti e insegnare online. Knowly non procura lavoro per gli Insegnanti e gli Insegnanti non sono impiegati di Knowly. Inoltre, Knowly non ha funzioni di controllo, non è un insegnante né tantomeno fornisce metodi di insegnamento o eroga Corsi o Lezioni. Il ruolo di Knowly consiste esclusivamente (i) nell’agevolare l’utilizzabilità del Sito e dei Servizi e (ii) nella gestione in nome e per conto degli Insegnanti delle procedure di riscossione dei pagamenti effettuati dagli Studenti come meglio specificato nel prosieguo di questo Contratto.

Si prega di notare che il contratto (di seguito definito come “Contratto di Docenza” e come meglio descritto all’Articolo 6 delle presenti Condizioni) relativo alla prestazione professionale di insegnamento è concluso direttamente tra l’Insegnante e lo Studente. Pertanto, se uno Studente utilizza il Sito per prenotare una Lezione, egli accetta di fare riferimento ed essere soggetto alle condizioni di prenotazione specificatamente e direttamente applicabili tra Studente e Insegnante, sia in relazione al pagamento che ad altre questioni connesse. Knowly non è parte del Contratto di Docenza e declina, nella misura massima consentita dalla legge, ogni responsabilità derivante da o connessa a tale Contratto di Docenza.

Knowly ha realizzato e manutiene la piattaforma online, ma non è responsabile dei servizi e delle applicazioni di soggetti terzi attivi all'interno del Sito (quali ad esempio i gestori dei servizi di pagamento), che non sono oggetto del presente Contratto e con i quali potrà intercorrere un rapporto contrattuale separato con gli Utenti come specificato nel prosieguo di questo Contratto.

Fatto salvo diverso accordo tra le parti, Knowly non addebita agli Utenti alcun costo per l'accesso al Sito o per la pubblicazione di un Corso sul Sito. Tuttavia, nel caso in cui un Insegnante e uno Studente abbiano concluso un Contratto di Docenza attraverso il Sito, Knowly applicherà una commissione come specificato nel prosieguo del Contratto.

2.    Conclusione del Contratto


L’Utente conclude il Contratto con Knowly portando a termine la procedura di registrazione online (di seguito denominata “Registrazione”) sulla piattaforma ed effettuando la conferma della Registrazione stessa attraverso il link di attivazione presente nell’email di verifica inviata da Knowly. Con la conclusione del Contratto, l'Utente assicura di essere un Utente eleggibile ai sensi dell’Articolo 5 delle presenti Condizioni.

Inoltre l'Utente è tenuto a comunicare in modo completo e veritiero tutti i dati richiesti durante la fase di Registrazione.

L’Utente è tenuto a mantenere il proprio indirizzo email costantemente aggiornato, dato che l’email rappresenta il principale strumento di comunicazione tra l’Utente e Knowly. In caso di variazione dei propri dati personali in seguito alla Registrazione, l’Utente è tenuto a modificarli immediatamente nel proprio Account (definito nel seguito del Contratto) oppure a inviare una email a hello@knowly.co con la richiesta di modifica. Se la procedura di Registrazione è stata effettuata con successo, Knowly mette a disposizione dell'Utente un Account.

3.    Funzionamento del Sito


Il Sito e i suoi Servizi sono finalizzati ad agevolare la pubblicazione, la ricerca, la prenotazione e lo svolgimento di Corsi online attraverso una piattaforma di videoconferenza integrata. Gli Insegnanti creano una o più Lezioni, gli Studenti possono ricercarle e prenotarle. Si precisa che i visitatori del Sito non registrati possono solamente accedere ad alcune sezioni dello stesso. Ove il visitatore desiderasse utilizzare appieno il Sito e i Servizi annessi, dovrà procedere alla Registrazione e conseguente creazione di un account diventando così un Utente (come meglio chiarito all’Articolo 8 “Account”).

Gli Insegnanti, in qualità di liberi professionisti scelti dagli Studenti, dovranno provvedere a verificare i metodi, le informazioni, i materiali e tutti gli aspetti relativi alle proprie Lezioni. Tutte le comunicazioni tra Studenti e Insegnanti, le recensioni, la messaggistica, le discussioni, le Lezioni e la condivisione di materiali dovranno avvenire online tramite il Sito e l'applicazione di videoconferenza integrata.

Gli Studenti, nel momento in cui selezionano un Insegnante, sono responsabili di effettuare la scelta che più risponde alle proprie esigenze. Pertanto, al momento della selezione gli Studenti dovranno rivedere e analizzare le credenziali di ciascun Insegnante, incluso il suo livello di istruzione ed esperienza, le recensioni lasciate da altri Studenti, qualora disponibili sul Sito. Nel caso di Studenti minorenni, ci dovrà essere un adulto responsabile di supervisionare tutte le Lezioni.

Knowly può operare e gestire il Sito da diverse località ma non garantisce che il Sito sia adatto a o disponibile per l'uso in tutte le località di accesso. I Servizi potrebbero non essere disponibili in tutte le località e i servizi disponibili potrebbero variare da luogo a luogo. Se da un lato Knowly farà ogni ragionevole sforzo per consegnare tutta la corrispondenza inviata tramite il sistema di messaggistica del Sito, non può, tuttavia, garantire tale consegna.

4.    Modifiche al Contratto


Knowly si riserva il diritto, senza preavviso e a propria esclusiva discrezione, di modificare le presenti Condizioni in ogni momento, per ragioni commerciali o tecniche. In caso di modifiche, Knowly provvederà ad aggiornare le Condizioni direttamente sul Sito o a inviare una notifica in tal senso agli Utenti. Knowly provvederà inoltre ad aggiornare la data di ultimo aggiornamento indicata nell’incipit del Contratto. La prosecuzione nell’uso del Sito successivamente a tali modifiche o all’esplicita accettazione di nuove Condizioni al momento del login nel Sito costituisce consenso prestato dall’Utente alle modifiche suddette e l’Utente accetta di esserne pienamente vincolato. L’Utente che non intenda accettare le modifiche alle Condizioni dovrà cessare l’uso del Sito. L’Utente si impegna a rivedere periodicamente e con regolarità le presenti Condizioni così da restare aggiornato su eventuali loro modifiche.

5.    Criteri di eleggibilità


Qualora la giurisdizione applicabile al Contratto lo richieda, l’Utente dovrà aver compiuto almeno diciotto (18) anni di età (o comunque l’età richiesta per l’ottenimento della capacità di agire) per potersi registrare al Sito e utilizzare i Servizi. In caso di utilizzo del Sito e dei Servizi da parte di una persona minorenne o comunque priva della capacità di agire ai fini della conclusione del presente Contratto, sarà un genitore o un legale rappresentante a concludere il Contratto e a essere responsabile per l’utilizzo del Sito da parte dell’Utente minorenne. Accedendo o utilizzando il Sito, l’Utente dichiara e garantisce di avere almeno diciotto anni o di aver autorizzato la persona minorenne a procedere con la Registrazione.

Sono autorizzati a procedere con la Registrazione al presente Sito e alla conclusione del Contratto con Knowly in qualità di Insegnanti esclusivamente quegli Utenti che agiscano per finalità inerenti alla propria attività professionale, e non per il proprio uso personale, familiare, o di consumatore.

6.    Contratto di Docenza


Una volta effettuata la prenotazione di una Lezione pubblicata dall’Insegnante sul Sito, tale prenotazione si intende accettata dal rispettivo Insegnante e il Contratto di Docenza si intende concluso. Una volta che la prenotazione è conclusa, Knowly provvederà a inviare sia allo Studente che all’Insegnante una email o un messaggio di testo tramite il Sito a conferma della avvenuta prenotazione.

La creazione di un Corso, la conclusione e la corretta esecuzione del Contratto di Docenza sono di esclusiva responsabilità degli Utenti. Gli Utenti sono inoltre unicamente responsabili nell’assicurare la propria conformità alle disposizioni di legge applicabili al momento della conclusione del Contratto di Docenza. Knowly, pertanto, non è parte del Contratto di Docenza concluso tra gli Insegnanti e gli Studenti, tantomeno Knowly è una scuola o un’istituzione scolastica. Il ruolo di Knowly consiste esclusivamente nell’agevolare i contatti tra Utenti e nel fornire eventualmente assistenza nella risoluzione di controversie relative al Contratto di Docenza.

Si specifica che spetta esclusivamente all’Utente, in veste di Insegnante, tenere fede a ogni prenotazione effettuata da Studenti attraverso il Sito. Fatto salvo quanto disposto in materia di gestione dei pagamenti, la responsabilità relativa all’adempimento degli obblighi relativi al Contratto di Docenza ricadrà esclusivamente sugli Utenti. Knowly non è parte di detto contratto e non ha di conseguenza alcuna responsabilità derivante da o comunque in merito a esso. Knowly si limita a fornire l’infrastruttura digitale, ma non agisce in alcun modo come agente incaricato della conclusione di contratti o come rappresentante dell’Utente, né in ogni caso come intermediario o assicuratore, in relazione alle transazioni che gli Utenti concludono tra di loro tramite il Sito, ma può agire, e agisce effettivamente, come rappresentante o intermediario in nome e per conto dell’Insegnante in relazione al trattamento o alla gestione delle procedure di riscossione del pagamento, incluso il pagamento di anticipi e la cancellazione di prenotazioni con gli Studenti, come meglio descritto all’Articolo 10 “Condizioni di prenotazione e pagamenti”.

7.    Deontologia accademica


L'Utente riconosce ed accetta che il Sito e i Servizi sono forniti per facilitare l’apprendimento, e non devono essere utilizzati dagli Utenti per finalità diverse. Gli Studenti non devono richiedere a un Insegnante di completare i compiti al loro posto, scrivere saggi, eseguire quiz, esami o comunque svolgere lavori al loro posto. Sia gli Studenti che gli Insegnanti non devono utilizzare i servizi di Knowly per finalità in contrasto con la buona condotta accademica e scolastica né con le leggi o altri codici di condotta eventualmente in vigore nelle loro scuole, università, istituzioni accademica o nei loro posti di lavoro.

È responsabilità degli Insegnanti adoperarsi per chiedere ai propri dirigenti scolastici ogni autorizzazione eventualmente necessaria a erogare Lezioni agli Studenti. Gli Insegnanti garantiscono che chiederanno ed otterranno tutte le necessarie autorizzazioni a questo riguardo. Inoltre, nel caso in cui le leggi applicabili proibiscano a un Insegnante di impartire lezioni private ad alunni del proprio istituto, gli stessi Insegnanti si impegnano al pieno rispetto di tale disposizione normativa e saranno pienamente responsabili in caso di eventuale inadempimento, impegnandosi inoltre a manlevare e tenere indenne Knowly dalle possibili conseguenze di una tale violazione.

8.    Account


Un visitatore del Sito, per poter accedere a determinate funzioni, quali ad esempio creare o prenotare una Lezione, deve previamente registrarsi e creare un account su Knowly (di seguito denominato “Account”) diventando così un Utente. I visitatori possono registrarsi sia attraverso il Sito che secondo le modalità in appresso descritte.

Per registrare l’Account, occorre accedere al Sito e inserire le informazioni richieste. Con la Registrazione, l’Utente dichiara e garantisce: (a) di soddisfare i criteri di eleggibilità richiesti per l’apertura di un Account previsti all’Articolo 5 “Criteri di eleggibilità” delle presenti Condizioni e (b) che le informazioni fornite dall’Utente stesso, nell’ambito della procedura di Registrazione e anche successivamente, siano esatte e non fuorvianti.

Se la procedura di Registrazione è stata effettuata con successo, Knowly mette a disposizione dell'Utente un Account protetto da nome Utente e password, questi ultimi generati durante la procedura di Registrazione. L’Account è personale e non può essere in alcun modo ceduto a terzi senza il previo consenso esplicito di Knowly.

L’Utente può avere la possibilità di eseguire il login al Sito utilizzando una piattaforma esterna come, a titolo puramente esemplificativo, Facebook o altri social network (“SNS”); ciascun account Utente su un SNS è di seguito denominato “Account Esterno”.

Tra le funzionalità del Sito può rientrare anche la possibilità di collegare il proprio Account a un Account Esterno, consentendo a Knowly di accedere a tale Account Esterno, sempre che sia consentito dai termini e dalle condizioni che disciplinano l’utilizzo dell’Account Esterno. L’Utente dichiara di essere autorizzato a rivelare a Knowly i propri dati di accesso all'Account Esterno e/o di consentire a Knowly di accedervi (incluso, a titolo esemplificativo, per le finalità qui descritte), senza violare alcun termine o condizione che disciplina l'utilizzo dell'Account Esterno, e senza obbligare Knowly a corrispondere alcuna commissione, o rendere Knowly soggetta ad alcun limite di utilizzo imposto dal fornitore dell’Account Esterno. Consentendo a Knowly di accedere ad Account Esterni, l’Utente è consapevole che Knowly accederà, renderà disponibile ed archivierà (se applicabile) qualsiasi contenuto fornito al e conservato nel proprio Account Esterno (di seguito denominato “Contenuto SNS”) in modo che sia disponibile attraverso il Sito, attraverso il proprio Account, incluso attraverso la pagina del profilo. Salvo quanto diversamente stabilito nel presente Contratto, tutti i Contenuti SNS, qualora ve ne siano, verranno considerati a tutti gli effetti come Contenuto Utente (secondo la definizione di cui all’Articolo 9 “Contenuto Utente”). A seconda della tipologia di Account Esterno scelto dall’Utente, e fatte salve le impostazioni sulla privacy selezionate in tali Account Esterni, le informazioni di carattere personale quali dati identificativi disponibili su tali Account Esterni potranno essere disponibili nel e attraverso il proprio Account sul Sito. Nella circostanza in cui un Account Esterno o un servizio a esso collegato dovesse risultare non disponibile, o il fornitore dell’Account Esterno dovesse impedire a Knowly l'accesso a tale account, il Contenuto SNS non sarà più disponibile attraverso il Sito. L’Utente ha la facoltà di disabilitare la connessione tra il proprio Account e gli Account Esterni in qualsiasi momento, accedendo al proprio profilo. SI PREGA DI NOTARE CHE IL RAPPORTO TRA UTENTE E FORNITORI DI SERVIZI RELATIVI AD ACCOUNT ESTERNI È DISCIPLINATO ESCLUSIVAMENTE DA SEPARATI ACCORDI SOTTOSCRITTI TRA DI LORO. Knowly non effettuerà alcun controllo sui Contenuti SNS, incluso, a puro titolo esemplificativo, sull'accuratezza, la liceità o il rispetto di diritti e Knowly non assume alcuna responsabilità per i Contenuti SNS.

Knowly genererà un Account e una pagina di profilo per permettere l'uso del Sito utilizzando le informazioni personali comunicate dagli Utenti o che Knowly ottiene attraverso un SNS. Un Utente non potrà avere più di un (1) Account Knowly attivo; pertanto, L’Utente potrà avere un Account come Studente o come Insegnante, ma non potrà avere entrambi. Ogni Utente si impegna a fornire informazioni precise, aggiornate e complete durante il processo di Registrazione e a mantenere tali informazioni accurate, aggiornate e complete. Knowly si riserva il diritto di sospendere o cancellare l'Account di un Utente e il suo accesso al Sito:

Ciascun Utente è responsabile di proteggere la propria password. Gli Utenti si impegnano a non rivelare a terzi la propria password, né altri dettagli del proprio Account e saranno gli unici responsabili per qualsiasi attività o iniziativa intrapresa attraverso il loro Account, sia che si tratti di attività o iniziative autorizzate che di iniziative non autorizzate. Gli Utenti dovranno immediatamente segnalare a Knowly qualsiasi uso non autorizzato dei loro Account inviando una email all'indirizzo hello@knowly.co

Gli Utenti devono essere persone reali per poter aprire un Account. Accounts registrati da bot o altri metodi automatizzati di accesso al Sito e alle sue pagine web non sono consentiti.

9.    Contenuto Utente


Knowly non rivendica alcun diritto di proprietà sui contenuti che un Utente inserisce sul Sito (di seguito denominato “Contenuto Utente”) e non avrà obblighi di alcun tipo rispetto al Contenuto Utente. Salvo quanto diversamente previsto nel Contratto, qualsiasi contenuto che un Utente fornisce in relazione al Sito avrà carattere non riservato. Knowly sarà libera di utilizzare e diffondere il Contenuto Utente senza restrizioni di alcun tipo e per qualsiasi finalità, e l’Utente concede all’uopo una licenza irrevocabile, non esclusiva, priva di royalties, valida in tutto il mondo, di usare, riprodurre, modificare, distribuire, trasmetter, esibire, eseguire, adattare, rivendere, nonché pubblicare il suddetto Contenuto Utente (anche in formato digitale). L’Utente dichiara e garantisce di avere ottenuto tutte le necessarie autorizzazioni per il trasferimento e il trattamento da parte di Knowly, o delle sue affiliate e dei suoi fornitori terzi, di qualsiasi contenuto che l’Utente fornisce sul Sito.

10.    Condizioni di prenotazione e pagamenti


Gli Insegnanti possono pubblicare le proprie Lezioni sul Sito, incluso informazioni relative sia al compenso che alle fasce orarie di disponibilità per le quali è permesso allo Studente di prenotare una Lezione. Spetta unicamente all’Insegnante, non a Knowly, stabilire il prezzo di una Lezione (di seguito denominato “Corrispettivo della Lezione”). L’Insegnante è consapevole e accetta che una volta che uno Studente effettua una prenotazione per una Lezione, il Corrispettivo della Lezione stabilito dall’Insegnante per tale Lezione non può più essere modificato. L’Insegnante riconosce e accetta di essere responsabile in via esclusiva per qualsiasi Lezione da lui pubblicata sul Sito. I Servizi di Knowly a favore dell’Insegnante includono anche l’assistenza per le comunicazioni con gli Studenti tramite il Sito, ad esempio ricevendo e inoltrando all’Insegnante eventuali prenotazioni o domande effettuate da uno Studente tramite il Sito, nonché ricevendo e gestendo le cancellazioni da parte degli Studenti. Come già chiarito all’Articolo 6 “Contratto di Docenza”, l’Insegnante riconosce che Knowly non è parte del Contratto di Docenza concluso tra Insegnanti e Studenti o di qualsiasi transazione tra Insegnanti e Studenti. Knowly non vende o fornisce Corsi o altri servizi di insegnamento a Studenti. L’Insegnante accetta che nell’eventualità in cui egli concluda una transazione con uno Studente attraverso l’uso del Sito e dei Servizi, in tal caso, a fronte della prestazione dei Servizi da parte di Knowly, incluso l’assistenza nella procedura di riscossione del pagamento e ogni altro servizio digitale, Knowly addebiti all’Insegnante una commissione di servizio (di seguito denominata “Commissione”), al netto di IVA e ulteriori imposte aggiuntive che potrebbero essere dovute per legge e quindi addebitate all’Insegnante, e con riferimento alla quale Knowly potrà emettere o potrà essere obbligata a emettere nei confronti dell’Insegnante una fattura con indicazione IVA (oppure Knowly potrà emettere tale fattura nei confronti dell’Insegnante a fronte di una ragionevole richiesta di quest’ultimo). Tale Commissione è basata su una percentuale (normalmente compresa tra lo zero percento (0%) e il quaranta percento (40%)) del Corrispettivo della Lezione relativo al Corso pubblicato sul Sito. La Commissione qui descritta si somma a titolo di margine di profitto al Corrispettivo della Lezione fissato dall’Insegnante per calcolare l’importo complessivo dovuto dallo Studente (“Corrispettivo Finale”). Il Corrispettivo Finale apparirà negli annunci dell’Insegnante e verrà inoltre indicato nella conferma di prenotazione trasmessa allo Studente. Gli Insegnanti garantiscono che si asterranno dal chiedere il pagamento di corrispettivi aggiuntivi agli Studenti oltre al Corrispettivo Finale pubblicato e concordato per una determinata Lezione. Tutti i compensi devono essere inclusi nel Corrispettivo Finale e gli Insegnanti si impegnano a non accordarsi separatamente con gli Studenti per addebitare loro tariffe o compensi aggiuntivi. Knowly non risponde della gestione o dell’accettazione di richieste o reclami da parte di un Utente relativamente a tali oneri o costi aggiuntivi né assume responsabilità alcuna al riguardo.

Si specifica che spetta esclusivamente all’Utente, in veste di Insegnante, tenere fede all’eventuale prenotazione effettuata da uno Studente e procurare, mettere a disposizione e fornire allo Studente i materiali o le dispense necessarie allo svolgimento della Lezione, secondo le regole e le limitazioni stabilite nell’annuncio pubblicato sul Sito, concordate con lo Studente e in conformità alle presenti Condizioni. L’Insegnante riconosce e accetta di essere responsabile per le proprie azioni e omissioni. Ogni Insegnante è responsabile in via esclusiva del rispetto delle leggi, norme e regolamenti, incluso i requisiti relativi a imposte e IVA e per eventuali conflitti con, o violazione di diritti di soggetti terzi. L’Insegnante è consapevole ed accetta che, nel momento in cui uno Studente ha effettuato la prenotazione di una Lezione pubblicata sul Sito, tale richiesta si intenderà automaticamente accettata dal rispettivo Insegnante. Non appena lo Studente effettua la prenotazione, Knowly potrà procurarsi una autorizzazione preventiva sulla carta di pagamento o conto PayPal dello Studente. Una volta completata la Lezione, il Corrispettivo Finale verrà pagato direttamente dallo Studente all’Insegnante entro due (2) giorni lavorativi dal completamento della Lezione, sempre che non vengano sollevati o presunti problemi. Se l’Utente (Studente), prima di cliccare sull’apposito tasto virtuale o link di conferma, decide di non procedere con la prenotazione, dovrà chiudere la finestra dell’applicazione. Gli Studenti potranno cancellare la propria prenotazione in conformità a quanto previsto dall’Articolo successivo “Cancellazione e rimborsi”. Knowly si riserva il diritto di cancellare qualsiasi prenotazione in qualsiasi momento per finalità di sicurezza e tutela in caso di potenziali frodi, generalmente segnalate dai sistemi contro le frodi utilizzati da Knowly e collegate all’utilizzo di carte per il pagamento. In tali casi Knowly potrebbe non effettuare alcun rimborso in relazione alla prenotazione cancellata.

Ciascun Insegnante è consapevole e accetta che il pagamento effettuato da uno Studente attraverso il Sito sarà considerato alla stregua di un pagamento corrisposto direttamente all’Insegnante, e quest’ultimo dovrà impartire il Corso allo Studente come se avesse ricevuto direttamente il Corrispettivo Finale. L’Insegnante accetta che Knowly possa, nel rispetto delle condizioni di cancellazione (i) consentire allo Studente di annullare una prenotazione e (ii) cancellare (tramite Knowly) la pre-autorizzazione al pagamento del Corrispettivo Finale in conformità alle condizioni di cancellazione.

Ciascun Insegnante conferisce a Knowly mandato esclusivamente per procedere al trattamento o alla gestione delle procedure di riscossione dei pagamenti nonché alla eventuale cancellazione di transazioni con gli Studenti. Ciascun Insegnante comprende e accetta che l'obbligo di Knowly di corrispondere all'Insegnante quanto dovuto resta condizionato all’effettivo ricevimento dei pagamenti da parte degli Studenti. Knowly non garantisce i pagamenti agli Insegnanti di importi che Knowly non ha ricevuto dagli Studenti. Nell’accettazione di tale incarico, Knowly non si assume alcuna responsabilità in relazione ad azioni od omissioni degli Utenti.

Si prega di notare che Knowly attualmente non addebita alcun costo per la creazione di Corsi. Tuttavia, ciascun Insegnante comprende e accetta che Knowly si riserva il diritto, a propria esclusiva discrezione, di addebitare e di riscuotere eventuali commissioni per la creazione di Corsi. Si prega di prestare attenzione al fatto che Knowly provvederà a notificare agli Utenti direttamente sul Sito la propria decisione di procedere con la richiesta di importi per la pubblicazione di Lezioni, prima di procedere in tale senso.

Nel momento in cui viene effettuata una prenotazione attraverso il Sito, Knowly potrebbe condividere con gli Insegnanti (i) il nome e cognome degli Studenti che hanno prenotato, (ii) un link alla pagina di profilo dell'Account dello Studente, (iii) i nomi di tutti gli utenti di un SNS con cui lo Studente è connesso.

Knowly può pre-autorizzare il Corrispettivo Finale sulla carta di pagamento al momento della prenotazione e provvederà alla riscossione una volta completata la Lezione o comunque al termine della Lezione prenotata (vale a dire, entro ventiquattro (24) ore dal termine della Lezione), secondo quanto disposto anche dalle condizioni di cancellazione e rimborso. Soltanto in un momento successivo, Knowly darà seguito alla corresponsione all’Insegnante del Corrispettivo Finale (da cui verrà dedotta la Commissione ed eventuali tasse applicabili al Corrispettivo della Lezione, come ad esempio l’IVA) il più velocemente possibile secondo quanto commercialmente ragionevole e normalmente entro quarantotto (48) ore dal termine della Lezione, sempre che non vengano sollevati o presunti problemi. Le tempistiche per ricevere i pagamenti possono variare a seconda del sistema prescelto dall’Insegnante. Alcune modalità prevedono l'utilizzo di elaboratori di pagamento esterni, che possono addebitare all'Utente costi ulteriori per l'utilizzo dei loro servizi, anche attraverso la deduzione degli stessi dall'ammontare della transazione.

Lo Studente si impegna a pagare attraverso il Sito il Corrispettivo Finale per qualsiasi prenotazione effettuata con il proprio Account. Lo Studente, prima di eseguire una prenotazione con un Insegnante, potrà visualizzare il Corrispettivo Finale che dovrà corrispondere all’Insegnante. Pertanto, lo Studente accetta di corrispondere all’Insegnante, attraverso il Sito, la somma di cui al Corrispettivo Finale e Knowly procederà a riscuotere tale importo dallo Studente per ciascuna prenotazione effettuata con il suo Account.

Per poter confermare una prenotazione e in attesa dello svolgimento della Lezione, lo Studente è consapevole e accetta che Knowly possa procedere, in nome e per conto dell’Insegnante, a (i) ottenere una pre-autorizzazione al pagamento sulla carta di credito o di debito dello Studente pari all’importo del Corrispettivo Finale o (ii) addebitare sulla sua carta di credito o di debito un importo nominale, non superiore a due euro (€2), al fine di verificare la validità dei sistemi di pagamento, (iii) ottenere una pre-autorizzazione al pagamento sul suo conto PayPal (o di un altro gestore terzo dei servizi di pagamento) o (iv) accreditare sulla sua carta di credito o di debito ovvero sul suo conto PayPal (o di un altro gestore terzo dei servizi di pagamento) un importo nominale, non superiore a due euro (€2), per verificare la validità dei sistemi di pagamento. Knowly riscuoterà il Corrispettivo Finale in conformità al presente Contratto e alle tariffe previste per le Lezioni. Si prega di notare che Knowly non è in grado di conoscere o controllare eventuali commissioni addebitate a uno Studente dalla propria banca e dovute per la riscossione dell'importo del Corrispettivo Finale, e Knowly non assume responsabilità alcuna al riguardo.

In relazione alla prenotazione, Knowly potrà richiedere allo Studente di fornire a Knowly o al terzo che elabora i pagamenti i dati di fatturazione, quali ad esempio nome e cognome, indirizzo di fatturazione e dati della carta di credito. Gli Studenti accettano di corrispondere agli Insegnanti attraverso Knowly l’importo dovuto per ciascuna prenotazione eseguita con il proprio Account con le modalità di pagamento previste sul Sito, quali ad esempio PayPal o carta di credito, nel rispetto di quanto previsto dalle presenti disposizioni contrattuali. Lo Studente autorizza e accetta sin d’ora il fatto che Knowly provveda all’incasso addebitando o chiedendo autorizzazione all’addebito della carta di pagamento o del conto PayPal comunicato durante la fase di prenotazione, direttamente o indirettamente tramite elaborazione del pagamento da parte di un soggetto terzo.

Se uno Studente viene reindirizzato verso un sistema di elaborazione del pagamento gestito da un soggetto terzo, sarà tenuto al rispetto dei termini e delle condizioni previste da quest’ultimo e alle sue procedure di raccolta e trattamento dati. Gli Studenti hanno il dovere di rivedere tali condizioni contrattuali e le rispettive informative sul trattamento dati prima di utilizzare questi servizi terzi. Una volta ultimata la prenotazione di una Lezione, gli Studenti riceveranno una email di conferma con i dettagli della prenotazione.

11.    Cancellazioni e rimborsi


Fatto salvo quanto descritto di seguito, gli Studenti possono cancellare una prenotazione in qualsiasi momento fino a tre (3) ore prima dell’inizio della Lezione e Knowly provvederà a cancellare eventuali autorizzazioni all’addebito sulla carta di credito o di debito o sul conto PayPal degli Studenti e restituirà eventuali importi già addebitati per la prenotazione in oggetto entro un tempo commercialmente ragionevole. Gli Studenti non possono cancellare una prenotazione con meno di tre (3) ore di anticipo prima dell’inizio della Lezione oppure quando la Lezione ha già avuto inizio, salvo nel caso in cui gli Studenti prenotino la Lezione tra tre e mezza (3,5) e tre (3) ore prima dell’inizio della Lezione. In tal caso, gli Studenti possono cancellare la prenotazione entro trenta (30) minuti dal momento in cui la prenotazione è stata eseguita.

Nel caso in cui un Insegnante cancelli una prenotazione, (i) Knowly provvederà entro un tempo commercialmente ragionevole a restituire ogni importo eventualmente addebitato allo Studente per questa prenotazione e (ii) lo Studente riceverà da Knowly una email o altra comunicazione con i dettagli della disdetta. Se un Insegnante non cancella una prenotazione e non si connette alla Lezione, lo Studente dovrà inviare una email a prenotazioni@knowly.co indicando la data, l’orario e la materia della Lezione e il nome dell’Insegnante. Le Lezioni che non hanno avuto luogo perché l’insegnante non si è collegato non saranno addebitate allo Studente. Se un insegnante si collega alla Lezione in ritardo, ma entro quindici (15) minuti dall’inizio previsto della Lezione stessa, la Lezione potrà iniziare comunque e continuare per trenta (30) minuti se lo Studente e l’Insegnante acconsentono (fatto il salvo il caso in cui la Lezione venga estesa dallo Studente). Se l’Insegnante non si collega alla lezione entro quindici (15) minuti dall’inizio previsto della Lezione stessa, l’Insegnante non potrà più connettersi alla Lezione.

Un Insegnante non dovrebbe essere in ritardo per una Lezione o annullare una prenotazione. Se, tuttavia, in circostanze eccezionali un Insegnante è costretto a essere in ritardo per una Lezione o ad annullare una prenotazione, Knowly si riserva il diritto di richiedere eventuali danni o intraprendere altre azioni come ritenuto appropriato, tra cui (i) la pubblicazione automatica di un avviso sulla sua Lezione che indica il ritardo o l’annullamento della prenotazione, (ii) mantenere il calendario indisponibile o bloccato nelle date / negli orari della prenotazione cancellata, o (iii) imporre una commissione per il ritardo o per l’annullamento (che sarà trattenuta direttamente dai suoi futuri pagamenti).

12.    Tasse


Si precisa che spetta agli Insegnanti, in via esclusiva, determinare quali siano i requisiti di reportistica fiscale applicabili avvalendosi del parere dei propri consulenti fiscali. Knowly non può offrire, e non offre, consulenza relativa a questioni fiscali agli Utenti del Sito.

In aggiunta, si precisa che spetta altresì all’Utente la determinazione e/o il pagamento di qualsiasi importo a titolo di IVA o simile imposta indiretta e l’inclusione della suddetta IVA o altra imposta nel Corrispettivo della Lezione o l’adempimento di tali obbligazioni relative alle imposte applicabili alla pubblicazione di Lezioni sul Sito o riguardo alla Commissione addebitata o fatturata all’Utente. All’Insegnante potrebbe inoltre essere richiesto di emettere fattura, incluso a titolo esemplificativo e non esaustivo una valida fattura IVA nei confronti dello Studente.

In seguito alla loro registrazione come Utenti, gli Insegnanti inoltre riconoscono e accettano che Knowly possa contattarli per richiedere dati (nei limiti della ragionevolezza) relativi all’eventuale numero di partita IVA. Nel caso in cui un Insegnante non fornisca la documentazione fiscale richiesta (sempre nei limiti della ragionevolezza), Knowly si riserva il diritto di trattenere tutti i pagamenti dovuti fino al ricevimento della documentazione. L’Utente dovrebbe in ogni eventualità consultare il proprio consulente fiscale.

13.    Codice di condotta


A fronte dell’utilizzo del Sito, gli Utenti confermano e garantiscono di: (a) rientrare nei criteri di eleggibilità di cui al presente Contratto e avere la capacità di agire ai fini della conclusione del presente Contratto (b) fornire informazioni personali accurate, aggiornate e complete come richiesto dal modulo di Registrazione od ogni altro modulo di raccolta informazioni presente sul Sito; (c) mantenere i propri nome Utente e password al sicuro; (d) aggiornare con solerzia e mantenere aggiornate, corrette e complete le informazioni del proprio Account e qualsiasi informazione comunicata a Knowly; (e) accettare ogni eventuale rischio di accesso non autorizzato ai dati e alle informazioni dell’Account.

L’Utente risponde in via esclusiva del Contenuto Utente o di qualsiasi altra informazione che egli fornisca, pubblichi o trasmetta in qualsiasi altra maniera mediante l’utilizzo del Sito.

Gli Utenti accettano di utilizzare il Sito in conformità alle leggi applicabili e in maniera consona alle finalità del Sito stesso. Knowly si riserva il diritto di modificare o rimuovere il Contenuto Utente che sia in contrasto con il Contratto, che contenga pubblicità commerciale di terzi, o per qualsiasi altro motivo qualora ritenga necessario provvedere in tal senso. Qualsiasi utilizzo del Sito che Knowly, a propria esclusiva discrezione, reputi inappropriato e/o offensivo potrebbe comportare la sospensione o la cancellazione immediata di un Account Utente.

Gli Utenti non devono in alcun modo:

Nella misura in cui ciò è consentito dalle leggi vigenti, Knowly non assume responsabilità alcuna e gli Utenti accettano di esonerare Knowly da qualsiasi responsabilità in caso di controversie, rivendicazioni, azioni legali, lesioni e/o danni derivanti da o in qualsiasi modo connessi con: (a) qualsiasi inesattezza, intempestività, o incompiutezza relativa ai criteri di eleggibilità o (b) affermazioni o rappresentazioni inesatte rilasciate dagli Utenti. Presunti comportamenti non appropriati possono essere segnalati a Knowly inviando una email a hello@knowly.co

Knowly si riserva il diritto, in qualsiasi momento e a propria esclusiva discrezione, di rimuovere l’Account o qualsiasi altra affiliazione di un Utente con il Sito senza preventiva notifica in caso di violazione anche di una soltanto delle clausole sopra specificate. Inoltre, gli Utenti riconoscono che Knowly collaborerà in pieno nel caso di inchieste relative a violazione dei sistemi informatici o di protezione di rete di Knowly o altri siti, incluso cooperando con le autorità competenti nell’investigare presunti reati.

Knowly si riserva il diritto, ma non è tenuta a, rimuovere la pubblicazione di qualsiasi Lezione in qualsiasi momento e per qualsiasi motivo.

16.    Dichiarazioni e garanzie di Knowly


Knowly dichiara e garantisce che:

FATTO SALVO QUANTO PREVISTO DA DISPOSIZIONI INDEROGABILI DI LEGGE, QUESTE GARANZIE SONO LE UNICHE GARANZIE PRESTATE, E SOSTITUISCONO TUTTE LE ALTRE GARANZIE DI LEGGE O ALTRE GARANZIE O CONDIZIONI, ESPRESSE O IMPLICITE.

17.    Prescrizioni antielusione ed esclusività


Gli Utenti si impegnano a non compromettere, concludere transazioni al di fuori di o comunque disintermediare Knowly. Gli Utenti prendono atto e sono al corrente del fatto che una componente significativa dei ricavi che Knowly percepisce per mettere a disposizione degli Utenti il Sito e le sue funzionalità derivano dalla Commissione indicata all’Articolo 10 “Condizioni di prenotazione e pagamenti”.

Pertanto, a fronte della messa a disposizione del Sito e dei Servizi, per un periodo di dodici (12) mesi a partire dal momento in cui gli Utenti hanno concluso un Contratto di Docenza tramite il Sito (di seguito definito “Periodo di Esclusiva”), gli Utenti accettano di non incontrarsi di persona, utilizzare altri siti web o applicazioni diversi dal Sito per la condivisione di materiali o per eseguire lezioni. Durante il Periodo di Esclusiva, ulteriori transazioni tra Utenti messi in contatto attraverso il Sito saranno soggette a questo Contratto e quindi lo Studente e l’Insegnante saranno responsabili per il pagamento di tutte le Commissioni e altri eventuali costi (oltre all’IVA eventualmente applicabile), che sono stati evitati non prenotando le Lezioni tramite il Sito. Inoltre, gli Utenti accettano di utilizzare il Sito come metodo esclusivo per richiedere, effettuare e ricevere tutti i pagamenti in relazione a qualsiasi Lezione elencata. Se gli Utenti non hanno accesso al Sito durante il Periodo di Esclusiva, ad esempio perché il Contratto è risolto o la connessione a Internet è indisponibile, gli Utenti si impegnano a informare Knowly immediatamente delle lezioni non effettuate tramite il Sito, incluso del loro valore.

Qualsiasi violazione da parte degli Utenti del presente Articolo o dell’Articolo 10 “Condizioni di prenotazione e pagamenti” potrebbe causare gravi danni a Knowly e gli Utenti saranno responsabili per qualsiasi danno derivante da tali violazioni, incluso il lucro cessante, la perdita di profitti e le spese legali in cui Knowly incorra per ottenere il risarcimento del danno. In aggiunta a quanto sopra, Knowly si riserva il diritto di risolvere il contratto, rimuovendo gli Account sia degli Insegnanti che degli Studenti in questione. Qualora gli Utenti dovessero venire a conoscenza di una violazione o potenziale violazione di questa clausola sono invitati a informare Knowly via email a hello@knowly.co

18.    Protezione dei minori


Knowly si impegna a offrire e mantenere un ambiente sicuro per gli Studenti di ogni età. Knowly prende molto sul serio le proprie responsabilità di salvaguardia e protezione degli interessi di tutti i giovani che utilizzano la piattaforma.

In caso di dubbi su comportamenti potenzialmente offensivi nei confronti di un minorenne, lo Studente o l’Insegnante devono annotare i dettagli e segnalarli al responsabile della sicurezza dei minori per Knowly all’indirizzo prenotazioni@knowly.co (attenzione di: Andrea Sismonda, CEO) che indagherà ogni segnalazione e prenderà i provvedimenti opportuni in linea con le procedure adottate da Knowly.

19.    Privacy e cookie


Knowly rispetta e protegge la riservatezza dei propri Utenti. Si prega di consultare l’Informative sulla Privacy e sui Cookie per informazioni sulla raccolta e l’utilizzo dei dati personali da parte di Knowly.

20.    Link a siti di terze parti


Gli Utenti potrebbero visualizzare sul Sito dei link o banner che rinviano a siti o risorse di terze parti. Gli Utenti accettano che i link o banner a siti o risorse di terze parti sono forniti per comodità dell’Utente e sono consapevoli che cliccando su tali link o banner gli stessi Utenti saranno soggetti ai termini e alle condizioni contrattuali applicabili a tali siti o risorse esterni, incluso eventuali garanzie offerte, informative sulla privacy e procedure di sicurezza.

Gli Utenti riconoscono e accettano che Knowly non risponde della disponibilità o dell'accuratezza di tali siti web o risorse esterne, né tantomeno potrà essere ritenuta responsabile per qualsivoglia contenuto, pubblicità, prodotti o altri materiali disponibili su tali siti o risorse.

Knowly non risponde né direttamente né indirettamente di eventuali danni o lesioni, effettivi o presunti, all’Utente, causati o derivanti dall’interazione con o dal fare affidamento su tali contenuti esterni, beni o servizi disponibili su o accessibili attraverso tali siti o risorse. L’Utente accetta di essere l’unico responsabile di e si assume tutti i rischi che potrebbero derivare dall’interazione con tali siti e risorse esterne o dall’uso di contenuti, prodotti e servizi resi disponibili su o accessibili attraverso tali siti o risorse esterne.

21.    Proprietà Intellettuale


Fatto salvo quanto espressamente autorizzato da Knowly o diversamente previsto da disposizioni inderogabili di legge, l’Utente accetta di non riprodurre, modificare, dare in affitto, noleggiare, prestare, distribuire, copiare, includere in altri siti o applicazioni, ripubblicare, scaricare, trasmettere o creare opere derivate da contenuti appartenenti a Knowly, interamente o parzialmente, con nessun mezzo.

Gli Utenti non devono modificare, decompilare o compilare a ritroso il software che Knowly mette a disposizione degli Utenti, e non devono rimuovere o modificare qualsiasi marchio o simbolo di copyright o altri segni indicanti proprietà.

Per “Marchi Knowly” si intendono tutti i nomi, contrassegni, marchi di servizio, loghi, nomi commerciali, gli stili, gli slogan e qualsiasi altra denominazione di origine impiegata da Knowly in connessione ai suoi Servizi. Gli Utenti non possono rimuovere o alterare qualsiasi Marchio Knowly, o associare a sé o ai propri prodotti o servizi un Marchio Knowly, senza previo consenso scritto di quest’ultima. Gli Utenti riconoscono i diritti di Knowly sui Marchi Knowly e concordano sul fatto che qualsiasi uso di un Marchio Knowly debba avvenire a vantaggio esclusivo di Knowly. L'Utente si impegna a non incorporare alcun Marchio Knowly nei propri marchi commerciali, marchi di servizi, nomi di società, indirizzi Internet, nomi di dominio, o in qualsiasi altro titolo simile.

“Contenuto di Knowly” indica tutti i contenuti che Knowly rende disponibili attraverso il Sito o i Servizi, incluso qualsiasi contenuto concesso in licenza da un terzo ed escluso il Contenuto Utente.

Fatto salvo quanto espressamente previsto nel presente Contratto, niente di quanto qui previsto dovrà essere interpretato come concessione di licenza su diritti di proprietà intellettuale. Viene concessa agli Utenti un’autorizzazione a mostrare, copiare e scaricare Contenuto di Knowly soltanto se: (a) viene mantenuta la dicitura che fa riferimento alla proprietà intellettuale di Knowly e viene aggiunto a questo Contenuto di Knowly un messaggio di autorizzazione (per esempio: “usato con il permesso”); (b) questo Contenuto di Knowly viene usato per finalità personali e non commerciali; (c) questo Contenuto di Knowly non sarà copiato o pubblicato su altro computer in rete o pubblicato su altri mezzi, salvo nel caso di espressa autorizzazione scritta o concessione di licenza sul materiale in questione; e (d) questo Contenuto di Knowly non subisce modifiche. L’autorizzazione verrà revocata automaticamente e senza preavviso se l’Utente viola il presente Contratto. In caso di revoca dell’autorizzazione, ogni Contenuto di Knowly copiato, scaricato o stampato dovrà essere distrutto immediatamente.

Qualsiasi utilizzo di Contenuto di Knowly illecito o non autorizzato è da considerarsi come grave violazione dei diritti di proprietà intellettuale di Knowly.

22.    Disattivazione, Cancellazione, e Sospensione dell’Account


Nell’eventualità di grave inadempimento del Contratto da parte dell’Utente, incluso, a titolo esemplificativo e non esaustivo, in caso di truffa da parte dell’Utente e fatto salvo quanto diversamente previsto da disposizioni inderogabili di legge, Knowly può, a propria esclusiva discrezione e senza responsabilità alcuna nei confronti dell’Utente: (a) chiudere l’accesso dell’Utente ai Servizi (“Disattivazione”); (b) disattivare o cancellare qualsiasi Account dell’Utente e tutte le relative informazioni e file associati a tali Account nonché il Contenuto dell’Utente (“Cancellazione”), e (c) impedire l’accesso da parte dell’Utente ai suddetti file o ai Servizi (“Sospensione”). Inoltre, Knowly si riserva il diritto, in qualsiasi momento e senza preavviso, di rimuovere, o disabilitare l’accesso a gli annunci relativi alle Lezioni presenti sul Sito che Knowly, a propria esclusiva discrezione, ritenga essere offensivi, in violazione delle presenti Condizioni o altrimenti dannosi per il Sito e/o per i Servizi. Nei casi di chiusura dell’accesso al Sito, disattivazione o cancellazione dell’Account o rimozione degli annunci, l'Insegnante non potrà rivendicare alcun pagamento relativamente a Lezioni già prenotate, a meno che le Lezioni siano già state impartite prima della chiusura, disattivazione o cancellazione o rimozione e nessun problema sia stato segnalato in proposito. L’Utente ha facoltà di cancellare il proprio Account in qualsiasi momento attraverso la pagina del profilo o inviando una email all'indirizzo hello@knowly.co, specificando la richiesta di cancellazione. In caso di disattivazione, Knowly non avrà alcun obbligo di cancellare o restituire agli Utenti il Contenuto Utente.

23.    Comunicazioni e modifiche al Servizio


Knowly può inviare comunicazioni agli utenti via email, posta ordinaria, o tramite avvisi pubblicati direttamente sul Sito o tramite link sul Sito che rimandano ad avvisi. Knowly si riserva il diritto in qualunque momento di modificare, sospendere o interrompere i Servizi (o parte di essi), o l'uso dei o l'accesso ai Servizi, con o senza preavviso. Knowly può anche cancellare o impedire l'accesso a o l'uso di tutte le informazioni e file correlati. Knowly non sarà responsabile nei confronti degli Utenti o terzi per qualsiasi modifica, sospensione o cessazione dei Servizi, o la perdita di informazioni correlate.

24.    Comunicazioni aggiuntive


Nel momento in cui viene generato un Account, gli Utenti accettano di ricevere una comunicazione di conferma via email. Una volta effettuata una prenotazione, gli Utenti accettano di ricevere (i) una email che Knowly si riserva di inviare, in cui darà conferma dell’avvenuta prenotazione, (ii) una o più email che Knowly si riserva di inviare per ricordare agli Utenti di un’imminente Lezione, (iii) quando la Lezione si è svolta, una email che conferma la conclusione della Lezione. Gli Utenti sono altresì pregati di fare riferimento all’Informative sulla Privacy e sui Cookie per maggiori informazioni sulle modalità con cui Knowly può contattare gli Utenti. Knowly potrà inoltre inviare altre email agli Utenti per informarli su o confermare eventuali modifiche o variazioni da loro effettuate al loro Account o profilo, ricerche effettuate, calendario, o altre aree del Sito.

25.    Limitazione di responsabilità


Nella misura massima consentita dalla legge, l’Utente assume la piena ed esclusiva responsabilità e i rischi connessi all’utilizzo del Sito e dei Servizi, incluso in relazione alle prenotazioni di Corsi effettuate attraverso il Sito e per quanto riguarda le interazioni online o di persona tra Utenti. Fermo restando quanto precede, possono verificarsi delle circostanze nelle quali, a causa di omissioni di Knowly relativamente all’adempimento dei propri obblighi nell’ambito delle presenti Condizioni o per altre responsabilità, l’Utente abbia diritto a un risarcimento dei danni da parte di Knowly.

Indipendentemente da ciò che dà titolo all’Utente per richiedere il risarcimento da parte di Knowly e, fatto salvo quanto previsto da norme inderogabili di legge, la responsabilità complessiva di Knowly per tutte le richieste di risarcimento derivanti da un inadempimento delle presenti Condizioni o ad altro titolo, sarà limitata all’ammontare dei soli danni effettivamente subiti dall’Utente e causati da diretta e sola responsabilità di Knowly in relazione al presente Contratto. Inoltre, la responsabilità complessiva di Knowly per tutte le richieste di risarcimento di un Utente durante un anno solare non potrà eccedere in nessun caso il maggiore tra (a) mille euro (€1.000) e (b) l’importo corrisposto dall’Utente a titolo di Commissioni nei dodici (12) mesi precedenti gli eventi che hanno dato origine alle richieste di risarcimento.

Fatto salvo quanto previsto da disposizioni inderogabili di legge, in nessun caso Knowly potrà essere ritenuta responsabile per uno qualsiasi dei seguenti eventi anche se informata circa la possibilità che tali eventi si verifichino:

La volontà di Knowly e degli Utenti è che tale clausola di limitazione di responsabilità trovi applicazione per tutte le azioni di risarcimento danni promosse a qualsiasi titolo e per qualsiasi danno causato. Quanto sopra non modifica la responsabilità di Knowly per morte o lesioni personali derivanti da mancanza della dovuta diligenza da parte di Knowly, o la responsabilità di Knowly per false dichiarazioni dolosamente rilasciate, né alcuna altra responsabilità che non possa essere esclusa o limitata in base alla legge applicabile.

26.    Assunzione di rischi


Gli Utenti sono consapevoli e accettano che Knowly non esercita alcun controllo sulla condotta degli Utenti o sulla idoneità degli Utenti contattati attraverso il Sito. Ciascun Utente accetta di prendere tutte le precauzioni necessarie quando interagisce con altri Utenti.

27.    Manleva


L’USO DEL SITO E/O DEI SERVIZI DA PARTE DELL’UTENTE COSTITUISCE ACCETTAZIONE DEL FATTO CHE QUALSIASI RIMEDIO LEGALE O RISARCIMENTO CHE L’UTENTE TENTI DI OTTENERE IN RELAZIONE AD AZIONI OD OMISSIONI DI ALTRI UTENTI O DI SOGGETTI TERZI SI LIMITA ALLA POSSIBILITÀ DI SPORGERE RECLAMO NEI CONFRONTI DELLO SPECIFICO UTENTE O TERZO CHE HA PROVOCATO IL DANNO CON L’ESCLUSIONE, NELLA MISURA MASSIMA AMMESSA DALLA LEGGE, DI KNOWLY.

L’UTENTE ACCETTA DI INDENNIZZARE KNOWLY (E I SUOI DIRIGENTI, DIPENDENTI, RAPPRESENTANTI, AGENTI, LE SUE CONSOCIATE E I SUOI SUCCESSORI) DA OGNI E QUALSIASI RESPONSABILITÀ, DANNO, PERDITA, SPESA, RECLAMO O COSTO (INCLUSO SPESE E ONORARI LEGALI NEI LIMITI DEL RAGIONEVOLE) SOFFERTI DA KNOWLY E DERIVANTI DA, O IN CONNESSIONE CON: (A) LA VIOLAZIONE DI EVENTUALI DIRITTI DI TERZI CAUSATA DAL CONTENUTO UTENTE, (B) QUALSIASI DANNO, PERDITA, SPESA, RECLAMO O ALTRO COSTO SOFFERTO DA UN QUALSIASI ALTRO UTENTE IN RELAZIONE AL CONTENUTO UTENTE OPPURE IN RELAZIONE A QUALSIASI LEZIONE CHE L’UTENTE POSSA OFFRIRE O PRENOTARE PER MEZZO DEL SITO O (C) LA VIOLAZIONE DELL’ARTICOLO 5 (CRITERI DI ELEGGIBILITÀ), DELL’ARTICOLO 9 (CONTENUTO UTENTE), DELL’ARTICOLO 10 (CONDIZIONI DI PRENOTAZIONE E PAGAMENTI) O DELL’ARTICOLO 17 (PRESCRIZIONI ANTIELUSIONE ED ESCLUSIVITÀ).

28.    Legge applicabile e foro competente


Le presenti Condizioni e tutte le questioni da esse derivanti o a esse relative (incluso controversie o reclami aventi natura non contrattuale e relativa interpretazione) sono disciplinate dal diritto inglese nella misura in cui su tale diritto non prevalgano eventuali altre norme inderogabili di legge, quali possono essere, a titolo esemplificativo, le norme nazionali relative alla protezione dei consumatori. Qualsiasi reclamo o controversia derivante da, o relativa alle presenti Condizioni (incluso controversie o reclami aventi natura non contrattuale e relativa interpretazione) rientra nella competenza non esclusiva dei tribunali inglesi. Qualora l’Utente possa avvalersi come consumatore delle norme nazionali relative alla protezione dei consumatori, egli può invece scegliere di agire in giudizio dinanzi ai tribunali del proprio paese.

29.    Accordo completo


Le presenti Condizioni costituiscono l’accordo completo tra le parti e sostituiscono qualsiasi precedente comunicazione o accordo verbale o scritto intercorso tra l’Utente e Knowly e tutte le precedenti versioni di queste Condizioni. È fatto esplicito divieto agli Utenti di cedere a terzi, in tutto o in parte, il presente Contratto e i diritti da esso derivanti, senza il previo consenso esplicito di Knowly.

WELCOME TO KNOWLY. PLEASE READ THESE TERMS AND CONDITIONS OF SERVICE CAREFULLY AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES AND OBLIGATIONS.

PREAMBLE


These terms and conditions (hereinafter also referred to as “Terms” or “Contract”) govern the use of the Knowly website accessible at knowly.co or any other associated subdomain (hereinafter referred to as ”Site”).

The Site is an online platform connecting users seeking tutoring services (hereinafter referred to as “Students”) with users seeking to provide tutoring services (hereinafter referred to as “Tutors”), and with any other entity on whose behalf users accept these Terms (collectively ”Users”) and allowing Users to conduct lessons through the imbedded videoconferencing application. To this purpose, Tutors may create Classes or Lessons and Students may search for, book and take Classes or Lessons on the Site. “Class” or “Lesson” means a proposed lesson based on specific subjects, created, listed and conducted by the Tutor and made available via the Site. A “Clause” means a clause belonging to these Terms.

Knowly Ltd (hereafter referred to as “Knowly”), located at 2 Woodberry Grove, London, N12 0DR, United Kingdom, operates the Site.

These Terms are entered into by and between Knowly and Users, and Users accept them by acknowledging agreement with these Terms as per Clause 1, “Object of the Contract”. Please read these Terms before using or continuing to use the Site. Users shall not agree to the Terms unless they fully understand and accept each one. To the extent that anything in or associated with the Site is in conflict or inconsistent with these Terms, the Terms shall control. Any express waiver or failure to exercise promptly any right under the Terms will not create a continuing waiver or any expectation of non-enforcement. If any provision of the Terms is held invalid by any competent court, the parties agree that such provision will be replaced with a new provision that accomplishes the original business purpose, and the other provisions of the Terms will remain in full force and effect. In this Contract, any term used where singular shall include the plural and vice-versa, and any term in the masculine shall include the feminine and neuter.

If there is an inconsistency between any of the provisions of this English language version and a translated version, the provisions of this English language version shall prevail. Any translated versions of these Terms shall be for convenience only.

1.    Object of the Contract


The object of this Contract is the access to and use of the Site for the purposes described in the Preamble of this Contract (hereinafter referred to as “Services”).

The Site acts as a platform to allow registered Tutors to themselves offer Classes and teaching online to Students.

Knowly only makes available a platform with related technology for Students and Tutors to meet online, arrange for bookings of Classes, exchange payments and teach online. Knowly does not provide employment for Tutors, and Tutors are not employees of Knowly. Additionally, Knowly is not a monitor or a teacher nor is it a provider of teaching methods and does not provide Lessons or Classes. Knowly’s responsibilities are limited to: (i) facilitating the availability of the Site and Services and (ii) accepting payments from Students on behalf of Tutors as further described in these Terms.

Please note that the legal contract (hereinafter referred to as “Tutoring Contract” and as better defined in Clause 6 of these Terms) for the supply of Lessons is between Tutors and Students and if a Student books a Lesson with a Tutor through the Site, the Student will need to refer to and shall be bound by the booking conditions that will apply to that booking with a Tutor in relation to payment and other related matters. Knowly is not a party to the Tutoring Contract and disclaims all liability arising from or related to any such transactions to the fullest extent permitted by law.

Knowly creates and maintains the online platform, however is not responsible for services and applications offered by third parties within the Site (e.g. payment processing services), that are not the object of this Contract and with whom separate contractual relationships may exist as explained below in these Terms.

Unless otherwise agreed or specified, Knowly does not charge Users any fee for accessing the Site as a User or for listing a Class on the Site. However, in the event a transaction is concluded between a Tutor and a Student as a result of the use of the Site and Services, Knowly does charge fees as further described in this Contract.

2.    Conclusion of the Contract


The Contract between the Users and Knowly is concluded with the use of the activation link in the verification email sent to the User by Knowly after the completion of the online registration process (hereinafter referred to as “Registration”). By concluding the Contract, the User attests that he or she is an eligible User according to Clause 5 of this Contract.

Furthermore, the User is obliged to make a truthful and complete declaration of the information requested for the Registration. The User is required to keep his email address updated at all times as the email serves as the main communication mean between the User and Knowly. In case of a modification of the recorded data subsequent to the Registration, the User is required to change these in his Account (as defined later in these Terms) immediately, or write Knowly at hello@knowly.co with their change request. Following a successful Registration, Knowly will provide the User with an Account. 

3.    How the Site Works


The Site and its Services are used to facilitate the listing, search for and booking of Classes, and the consummation of any Classes such booked through the imbedded videoconferencing application.

Tutors list Classes. Students search for and book Classes. Visitors are only able to access certain sections of the Site. In order to fully use the Site and Services (e.g. to create a Class, search for or book a specific Lesson), visitors must register, create an account and become Users (as better specified in clause 8 “Account Terms”).

As independent contractors hired by Students, Tutors control the methods, information, materials and all aspects of the Lessons. All communication between Students and Tutors, reviews, messaging, discussions, Lessons and materials sharing shall take place online via the Site and the associated videoconferencing application.

Students are responsible for selecting the right Tutor for their needs. When making hiring decisions, Students should review and investigate each Tutor's self-reported credentials, education, and experience, as well as reviews from other students, if and when available on the platform. In case Students are under the legal age, a responsible adult should supervise all Lessons.

Knowly may control and operate the Site from various locations and makes no representation that the Site is appropriate or available for use in all locations. Knowly services may not be available in all locations, and available services may vary among locations. While Knowly will attempt to deliver all correspondence sent via the Site's messaging system, it cannot, however, guarantee delivery of all messages.

4.    Modifications


Knowly reserves the right, at its sole discretion, to modify the Site or these Terms, at any time and without prior notice for technical or commercial reasons. If Knowly modifies these Terms, it will post the modification(s) on the Site or provide Users with notice of the modification(s). Knowly will also update the last updated date at the top of these Terms. By continuing to access or use the Site after Knowly has posted a modification or has provided the Users with notice of a modification, Users agree to be fully bound by the modified Terms. If the modified Terms are not acceptable to the Users, the only recourse is to cease using the Site. Users must review these Terms on a regular basis to keep themselves informed of any changes.

5.    Eligibility


Where required by applicable law, Users must be at least eighteen (18) years old (or the applicable age of majority and legal capacity) to register to the Site and use its services. For anyone under eighteen year old or without legal capacity to enter into this Contract, an official representative of such person shall agree to this Contract and be the guarantor of the activities made by this person on the Site. By accessing or using the Site and its Services, Users represent and warrant that he or she is eighteen year old or older or gives full authorization and access to a person under eighteen year old.

Solely those Users who are acting for their business purposes and not for personal, household, or consumer use, can register as Tutors, and are eligible, as Tutors, to conclude contracts with Knowly.

6.    Tutoring Contract


Once a booking is made for a Class via the Site, such booking is assumed accepted by the respective Tutor and the Tutoring Contract is considered concluded. Once a booking is made, Knowly will send both Student and Tutor an email or a text message via the Site confirming such booking.

The creation of a Class, the related Contract conclusion and contractual performance related to the Tutoring Contract are the sole responsibility of the Users. The Users are also solely responsible for ensuring that at the conclusion of the Tutoring Contract they comply with all applicable laws. Knowly is not a party to the Tutoring Contract entered into between Tutors and Students nor is Knowly a school or education institution. Knowly only helps facilitating contacts between Students and Tutors, and may help managing disputes related to those contacts.

The Tutors, not Knowly, are solely responsible for honouring any Class bookings made through the Site. With the exception of its payment obligations hereunder, Knowly disclaims all liability arising from or related to any such Tutoring Contracts.
Knowly will provide Users solely with the infrastructure, but shall not act as representative or agent of a User, with the exception of handling or managing payment collection processes, including advance payment and cancellation transactions with Students, where Knowly can and shall act as Tutor’s disclosed agent or intermediary in his name and on his behalf as better described in Clause 10 “Prices and Booking Terms”.

7.    Academic Honesty


Users acknowledge and agree that Knowly’s services are provided for the purpose of learning, not cheating. Students must not inquire or hire Tutors to complete assignments, write papers, take quizzes or exams or otherwise do work on Students’ behalf. As both Students and Tutors, Users are not to use Knowly's services for any purpose that violates academic honesty and laws or any other conduct policies of Tutors’ and Students’ school, university, academic institution or workplace.

It is Tutors’ responsibility to obtain any required authorizations from their school directors before providing Classes to Students. Tutors warrant that they will apply for and obtain all necessary authorizations in this respect. In addition, in case any laws forbid Tutors to provide Classes to Students from the same school, the Tutors agree and warrant to comply with such regulations. Users agree to indemnify and hold Knowly harmless from any violation of the foregoing.

8.    Account Terms


In order to access certain features of the Site and to book or create a Class, a visitor must successfully register to create a Knowly account (“Account”) and become a User. Visitors may register to join the Site directly via the Site or as described in this section.

To register for an Account a visitor needs to access the Site and provide the requested information. By Registering, the User represents and warrants that: (a) is eligible for an Account as set out in clause 5 of this Contract; and (b) the information provided as part of the Registration process and thereafter is accurate and not misleading.

Upon successful Registration, the User is provided with an Account, which is protected by a User name and a password determined during the Registration process. An Account is personal and cannot be transferred to any third party without Knowly’s approval.

A User may be allowed to log in to his or her Account with certain third-party social networking sites (“SNS”) (including, but not limited to, Facebook; each User account with an SNS, a “Third-Party Account”), via the Site, as described below.

As part of the functionality of the Site, a User may be able to link his or her Account with Third-Party Accounts, allowing Knowly to access his or her Third-Party Account, as permitted under the applicable terms and conditions that govern the use of each Third-Party Account. Users represent that they are entitled to disclose their Third-Party Account login information to Knowly and/or grant Knowly access to their Third-Party Account (including, but not limited to, for use for the purposes described herein), without breach of any of the terms and conditions that govern their use of the applicable Third-Party Account and without obligating Knowly to pay any fees or making Knowly subject to any usage limitations imposed by such third-party service providers. By granting Knowly access to any Third-Party Accounts, Users understand that Knowly will access, make available and store (if applicable) any content they have provided to and stored in their Third-Party Account (“SNS Content”) so that it is available on and through the Site, via their Account including the profile page. Unless otherwise specified in these Terms, all SNS Content, if any, will be considered to be User Content (as defined in Clause 9 of this Contract) for all purposes of these Terms. Depending on the Third-Party Accounts that Users choose and subject to the privacy settings that they have set in such Third-Party Accounts, personally identifiable information that is available through their Third-Party Accounts may be available on and through their Account on the Site. If a Third-Party Account or associated service becomes unavailable or the third-party service provider terminates Knowly access to such Third-Party Account, then SNS Content will no longer be available on and through the Site. Users have the ability to disable the connection between their Account and the Third-Party Accounts at any time, by accessing their profile. PLEASE NOTE THAT USERS’ RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH THEIR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY THEIR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS. Knowly makes no effort to review any SNS Content for any purpose, including but not limited to, for accuracy, legality or non-infringement of rights and Knowly is not responsible for any SNS Content.

Knowly will create an Account and an Account profile page for use of the Site based upon the personal information a User provides or that Knowly obtains via an SNS as described above. Users may not have more than one (1) active Account; as such, a User may either be a Student or a Tutor, but not both. Each User agrees to provide accurate, current and complete information during the Registration process and to update such information to keep it accurate, current and complete. Knowly reserves the right to suspend or terminate a User’s Account and his access to the Site:

Each User is responsible for safeguarding their password. Users agree not to disclose their password nor any other Account details to any third party and that they will take sole responsibility for any activities or actions under their Accounts, whether or not Users have authorized such activities or actions. Users will immediately notify Knowly of any unauthorized use of their Accounts by sending an email at hello@knowly.co

In order to open an Account, Users must be real persons. Accounts registered by bots or other automated methods of access to the Site and to web pages contained in it are not permitted.

9.    User Content


Knowly does not claim ownership of the content that Users place on the Site (“User Content") and shall have no obligation of any kind with respect to such User Content. Unless otherwise stated herein, any Content that Users provide in connection with the Site shall be deemed to be provided on a non-confidential basis. Knowly shall be free to use or disseminate such User Content on an unrestricted basis for any purpose, and Users grant Knowly an irrevocable, worldwide, royalty-free, nonexclusive license to use, reproduce, modify, distribute, transmit, display, perform, adapt, resell and publish such Content (including in digital form). Users represent and warrant having proper authorization for the worldwide transfer and processing among Knowly, its affiliates, and third-party providers of any information that Users may provide on the Site.

10.    Prices and Booking Terms


Tutors may list Classes on the Site, including information on pricing as well as availability time slots for which such Classes may be booked by Students. The Tutors, and not Knowly, are solely responsible for determining the Class prices (hereinafter referred to as “Class Fee”). The Tutors understand and agree that once a Student makes a booking of a listed Class, the Class Fee a Tutor has set for such Class may not be altered. Tutors acknowledge and agree to be solely responsible for any and all their Class listings on the Site. Knowly’s Service to a Tutor shall also include assisting the Tutor with respect to communications with Students through the Site, for example, by receiving and forwarding to the Tutor any bookings or enquiries made through the Site by a Student and by receiving and handling cancellations from Students. As noted at Clause 6 “Tutoring Contract”, Tutors acknowledge that Knowly is not a party to the Tutoring Contract nor to any transaction between Tutors and Students. Knowly does not sell or provide Classes to students or other teaching services. Tutors expressly agree that in the event a Tutor concludes a transaction with a Student as a result of using the Site and its Service, then, in consideration of providing the Services, including support, payment facilitation, and any other online services, Knowly shall charge the Tutor a service fee (hereinafter also referred to as “Service Fee”), excluding any applicable VAT or other taxes which may also be charged, and in respect of which Knowly may issue or be required to issue a valid VAT invoice (or Knowly may so issue such document to the Tutor at such Tutor’s reasonable request). The Service Fee is based upon a percentage (typically between zero per cent (0%) and forty per cent (40%)) of the Class Fee in relation to a listed Class. The Service Fee as described herein shall be added by way of a mark up to the Class Fee to calculate the aggregate amount to be displayed in the Tutor listing and set out in the booking confirmation sent to the Student, and which shall therefore be payable by such Student (also referred to as “Student Fee”). Tutors agree not to ask or claim additional charges or fees to Students in addition to the amount agreed for the Student Fee for the listed Classes. All charges must be included in the Student Fee and Tutors agree not to carry out any separate arrangement with Students in respect of additional charges. Knowly shall not be responsible for administering or accepting a request or claim from a User related to such additional charges or payments and disclaims any liability in this respect.

Tutors are solely responsible for honouring any booking made by a Student and for supplying, making available and providing any learning material on the Site to the Student on such terms, conditions, rules and restrictions set forth in the Class listing and agreed with the Student and in accordance to these Terms. Tutors acknowledge and agree that they are responsible for their own acts and omissions. Each Tutor is solely responsible for compliance with laws, rules and regulations, including any tax due and VAT requirements and in respect of any conflict with or breach of rights of third parties. Once a booking is made for a Class via the Site, such booking is assumed accepted by the respective Tutor. Once the booking is made by the Student, Knowly may proceed to authorize the Student’s credit/debit card or PayPal account. Only once the Lesson is completed shall the Student Fee charged for the Class be paid directly by the Student to the Tutor within two (2) business days from the Class conclusion, if there are no issues reported or assumed. If at any time prior to clicking on the appropriate confirmation button or link, the Student decides that he or she does not wish to proceed with the booking, he or she should close the application window. Students may cancel bookings according to Clause 11, “Cancellations and Refunds”. Among others, Knowly reserves the right to cancel any booking at any time for security or fraud-protection purposes. This may be generally due to Knowly fraud-detection processes reporting a problem with the payment card submitted. In such cases, Knowly may decide not to refund any payment for the cancelled booking. Each Tutor agrees that a payment made by a Student through Knowly shall be considered the same as a payment made directly to the Tutor, and the Tutor will provide the Class to the Student as if the Tutor had received the Student Fee. Each Tutor agrees that Knowly may, in accordance with the cancellation policy, (i) permit the Student to cancel a booking and (ii) cancel the authorisation of the Student Fees (via Knowly) according to the cancellation policy.

Each Tutor accepts and agrees to appoint Knowly as the Tutor’s disclosed agent or intermediary in the Tutor’s name and behalf only in relation to handling or managing the payment collection processes involving payment and cancellation transactions with Students. Tutors are aware and accept that Knowly’s obligation to pay the Tutors is subject to and conditional upon successful receipt of the associated payments from Students. Knowly does not guarantee payments to Tutors for amounts that have not been successfully received from Students. In accepting such appointment, Knowly assumes no liability for any acts or omissions of the Tutors or Students.

Please note that Knowly does not currently charge fees for the creation of Classes. However, Tutors acknowledge and agree that Knowly reserves the right, at its sole discretion, to charge Tutors for and collect fees from Tutors for the creation of Classes. Please note that Knowly will provide notice of any Class listing fee collection via the Site, prior to implementing such a Class fee feature.

If a booking is made for a Class via the Site, Knowly may share with Tutors (i) the first and last names of the Student who has made the booking, (ii) a link to the Student’s Account profile page, and (iii) the names of any members of an SNS with whom the Student is associated.

Knowly may authorise the Student Fee at the time of booking and will proceed to collect the Student Fee before the completion of the Class or at the latest at the end of the booked Class (i.e. within twenty four (24) hours of the Class end), in accordance with the cancellations and refunds policies. Only afterwards will Knowly initiate payment of the Student Fee (less Service Fee and any taxes in respect of the Class Fee, such as VAT) to the Tutor as fast as commercially possible and usually within forty eight (48) hours from the end of the Lesson if there are no issues reported or assumed. The time it takes for the Tutor to receive any pay-outs may depend upon the method for receiving such pay-outs. Some methods involve the use of third-party payment processors, who may impose their own additional charges for the use of their services on the Tutor, including by deducting their charges from the pay-out amount.

The Student agrees to pay through the Site the Student Fee for every booking made using his Account. The Student Fee payable will be displayed to the Students before the Students book a Lesson with a Tutor. Students agree to pay the Student Fee to Tutors through the Site and Knowly shall collect such payments from Students for any booking made in connection with their Accounts.

In order to make a booking and pending the consummation of a Class, Students understand and agree that Knowly, on behalf of the Tutors, reserves the right to (i) obtain an authorization via their credit or debit cards for the Student Fees, (ii) charge the Student’s credit or debit card a nominal amount, not to exceed two euro (€2), to verify their credit or debit card, (iii) obtain an authorisation for the Student Fees on their PayPal (or another third party payments processor) accounts or (iv) credit their credit or debit card or PayPal (or another third party payments processor) account with a nominal amount not to exceed two euro (€2) to verify their credit card, debit card or PayPal (or another third party payments processor) account. Knowly will collect the Student Fees in accordance with these Terms and the pricing of the respective Class. Please note that Knowly cannot control any fees that may be charged to a Student by his or her bank related to Knowly’s collection of the Student Fees, and Knowly disclaims all liability in this regard.

In connection with their booking, Students may be asked to provide customary billing information such as name, billing address and credit or debit card information either to Knowly or its third-party payment processor(s). Students agree to pay Tutors through Knowly for any bookings made in connection with their Accounts in accordance with these Terms by one of the methods described on the Site, e.g. by PayPal or credit/debit card. Students hereby authorize the collection of such amounts by charging or authorizing the card or PayPal account provided as part of the booking process, either directly by Knowly or indirectly, via a third-party online payment processor.

If a Student is directed to Knowly’s third-party payment processor(s), he or she may be subject to terms and conditions governing use of that third party’s service and that third party’s personal information collection and handling practices. Students are required to review such terms and conditions and privacy policy before using these services. Once a booking is complete, Students will receive a confirmation email summarizing the booking.

11.    Cancellations and Refunds


Unless under the exception below, Students may cancel a booking at any time up to three (3) hours before the start of the Lesson and Knowly will cancel any authorization to his or her credit/debit card and/or PayPal account and refund any amounts charged in connection with the booking within a commercially reasonable time. Students cannot cancel a booking less than three (3) hours before the start of the Lesson or when the Lesson has already started, except when a Student makes a booking between three and a half (3.5) and three (3) hours before the Lesson start time, in which case the Student may cancel a booking within thirty (30) minutes of making it.

If a Tutor cancels a booking (i) Knowly will refund any amount charged for such booking to the applicable Student within a commercially reasonable time of the cancellation and (ii) the Student will receive an email or other communication from Knowly detailing such cancellation. If a Tutor does not cancel a booking and does not join a Lesson, the Student should write an email to prenotazioni@knowly.co indicating the date, time and subject of the Lesson, and the name of the Tutor. The Students will not be charged for any Lessons that have not taken place as a result of the Tutor not being present. Should a Tutor join a Lesson up to fifteen (15) minutes late, the Lesson can start and continue for up to thirty (30) minutes if Student and Tutor agree (unless the Lesson is extended by the Student). If the Tutor has not joined his or her Lesson within fifteen (15) minutes of the Lesson start time, the Tutor will not be able to join the Lesson anymore.

Tutors should not be late for a Lesson or cancel a booking. If however, exceptional circumstances require a Tutor to be late for a Lesson or cancel a booking, Knowly reserves the right to claim for damages or to take any action as deemed appropriate, including (i) automated publishing of a review on his or her Class indicating that the Tutor was late for a Lesson or a booking was cancelled, (ii) keeping his or her calendar unavailable or blocked for the dates/times of the cancelled booking, or (iii) imposing a late or cancellation fee (to be withheld from his or her future pay-outs).

12.    Taxes


Tutors are solely responsible for determining their applicable tax reporting requirements in consultation with their tax advisors. Knowly cannot and does not offer tax-related advice to the Users of its Site.

Tutors are responsible for determining and/or paying any VAT or other taxes or including such VAT and other taxes into their Class Fee or satisfying such obligations relating to applicable taxes in adding a Class on the Site or in respect of the Service Fee as charged or invoiced to the Tutor or otherwise. Tutors may also be required to issue an invoice, including without limitation, a valid VAT invoice to Students.

Upon registering as Users, Tutors accept and acknowledge that Knowly may contact them to require details (acting reasonably) of their VAT registration number (if any). Knowly reserves the right to withhold any payment until it has received all tax identification information it reasonably requires, in case such information is required by Knowly. Tutors should in any event consult their tax advisors.

13.    Conduct on the Site


In consideration of the use of the Site, Users agree and warrant to: (a) meet the eligibility conditions (see Clause 5 of these Terms) and have capacity to agree to these Terms; (b) provide accurate, current, and complete information about themselves as may be prompted by a registration form or any form requiring information on the Site; (c) maintain the security of their password and User name; (d) maintain and promptly update the Account data and any information provided to Knowly and to keep it accurate, current and complete; and (e) accept all risks of unauthorized access to the Account information and data.

Users are solely responsible for all User Content they upload, post, or otherwise transmit through their use of the Site.

Users agree to use the Site in a manner that is lawful, relevant and proper to the Site’s scope. Knowly reserves the right to edit or remove User Content that violates these Terms, that contains third-party commercial advertisements, or for any other reason it deems necessary. Any use of the Site that Knowly, at its sole discretion, finds inappropriate and/or offensive may result in suspension and/or termination of a User Account with or without notice. Users should not:

To the extent permitted by mandatory law, Knowly expressly disclaims, and Users expressly release Knowly from any and all liability whatsoever for any controversies, claims, suits, injuries and/or damages arising from and/or in any way related to: (a) any inaccuracy, untimeliness or incompleteness regarding a User's eligibility conditions and/or (b) misstatements or misrepresentations made by any User. Alleged improprieties by any User may be reported to Knowly by email at hello@knowly.co

Knowly may at any time, and at its sole discretion, terminate a User’s Account or other affiliation with the Site without prior notice for violating any of the above provisions. In addition, Users acknowledge that Knowly will cooperate fully with investigations of violations of information systems or network security at Knowly or other sites, including cooperating with law enforcement authorities in investigating suspected law violations.

EXCEPT AS PROVIDED BY MANDATORY PROVISIONS OF LAW, THESE WARRANTIES ARE THE USERS’ EXCLUSIVE WARRANTIES AND REPLACE ALL OTHER WARRANTIES OR CONDITIONS, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR CONDITIONS OF SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.

17.     Exclusivity and Non-Circumvention


Users confirm they will in no way try to undercut, transact independently from or otherwise dis-intermediate Knowly.

Users hereby acknowledge and recognize that a substantial portion of the compensation Knowly receives for making the Site and its functionalities available to Users is the Service Fee described in Clause 10 “Prices and Booking Terms. Therefore, in consideration of the Site being made available, for a period of twelve (12) months from the time Users concluded a Tutoring Contract through the Site (the “Exclusivity Period”), Users agree they will never meet offline or use other websites or applications other than the Site, for sharing materials or conduct any lessons. Further transactions between a Student and a Tutor who were introduced through Knowly are subject to these Terms during the Exclusivity Period, and therefore such Student and Tutor are liable for any commission and fee due to Knowly (and VAT thereon) that have been avoided by not booking through the Site. Furthermore, Users agree to use the Site as their exclusive method to request, make and receive all payments in relation to any listed Class. Should the Users not have access to the Site during this period, e.g. because one User has terminated the Contract, or no Internet connection is available, they undertake to inform Knowly immediately of any lessons not conducted through the Site, including their value.

Any breach by Users of this Clause or of Clause 10 “Prices and Booking Terms” may inflict serious damages on Knowly and Users will be liable for any damage arising from such breach including loss of business and legal expenses that Knowly may incur in recovering it. In addition to the above, Knowly reserves the right to terminate the Contract, removing both the Tutor and the Student Accounts. Users aware of a breach or potential breach of this Clause are encouraged to inform Knowly via email at hello@knowly.co

18.    Child Protection


Knowly aims to offer and maintain a safe environment for Students of any eligible age. Knowly takes very seriously its responsibilities to safeguard and protect the interests of all young people who use the platform.

In the event of any concerns about potentially abusive behavior towards a child, the Student or the Tutor need to record the details and report such details to the Knowly Child Protection Officer at prenotazioni@knowly.co (currently Attn: Andrea Sismonda, CEO) who will investigate each such report and take appropriate actions in line with Knowly’s policy.

19.    Privacy and Cookies


Knowly respects and protects Users’ privacy. Please see the Privacy and Cookies Policies for information concerning Knowly’s collection and use of Users’ personal information.

20.    Links


Users may find on the Site links or banners to other websites or resources. Users accept that links or banners to third-party websites or resources are provided for User convenience only, and that if Users click on a link or banner to a third-party website or resource, they will be subject to those third-party’s terms and conditions, including any assumption of warranties, and privacy and security policies.

Users acknowledge and agree that Knowly is not responsible for the availability or accuracy of such external sites or resources, and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources.

Knowly will not be responsible or liable, directly or indirectly, for any actual or alleged damage or loss caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such site or resource. Users acknowledge sole responsibility for and assume all risk arising from his or her use of any such websites or resources or the content, products or services on or available from such websites or resources.

21.    Intellectual Property Rights


Except as expressly authorized by Knowly and except as otherwise provided by mandatory law, Users agree not to reproduce, modify, rent, lease, loan, sell, distribute, mirror, frame, republish, download, transmit, or create derivative works of Knowly, in whole or in part, by any means.

Users must not modify, decompile, or reverse engineer any software Knowly discloses to Users, and they must not remove or modify any copyright or trademark notice, or other notice of ownership.

"Knowly Trademarks" means all names, marks, brands, logos, designs, trade dress, slogans and other designations Knowly uses in connection with its products and services. Users may not remove or alter any Knowly Trademarks, or co-brand their own products or services with Knowly Trademarks, without Knowly's prior written consent. Users acknowledge Knowly's rights in Knowly Trademarks and agree that any use of Knowly Trademarks shall be made in Knowly’s sole benefit. Users agree not to incorporate any Knowly Trademarks into their trademarks, service marks, company names, Internet addresses, domain names, or any other similar designations.

“Knowly Content” means all content that Knowly makes available through the Site or Services, including any content licensed from a third party, but excluding User Content.

Unless explicitly stated herein, nothing in these Terms shall be construed as conferring any license to intellectual property rights. Permission is granted to display, copy and download Knowly Content provided that: (a) the copyright notice pertaining to the Knowly Content is included and a permission notice (e.g., “used with permission”) is added to such Knowly Content; (b) the use of such Content is solely personal and non-commercial: (c) such Content will not be copied or posted on any other networked computer or published in any other medium, except as explicitly permitted by written permission or license covering such materials; and (d) no modifications are made to such content. This permission terminates automatically without notice if the User breaches any of the terms or conditions in this document. Upon termination, Users must immediately destroy any copied, downloaded and/or printed Knowly Content.

Any unlawful or non-authorized use of Knowly Content will constitute a material infringement of Knowly’s intellectual property rights.

22.    Account Termination, Cancellation and Suspension


In the event of a material breach by Users of this Contract including but not limited to fraud, and except as otherwise provided by mandatory law, Knowly reserves the right, at its sole discretion and without liability to Users, to: (a) terminate Users’ access to the Service (“Termination”); (b) deactivate or delete any of the Users’ Accounts and all related information and files in such Accounts as well as Users’ Content (“Cancellation”); and (c) bar Users’ access to any of such files or to the Services (“Suspension”). In addition, Knowly reserves the right at any time and without any prior notice to remove or disable access to a listing of any Class on the Site, which Knowly in its sole discretion considers as being objectionable, in violation or breach of this Contract, or otherwise harmful to the Site and/or Services. Upon such termination of a User’s access to the Service, deactivation or deletion of the User’s Account or Class removal or disabling, Tutors may not claim any fees or payments in relation to any bookings already made for such Classes, unless the Classes have already been taught prior to the termination, deactivation, deletion or removal with no issues reported. Users may cancel their Accounts at any time via their profile page or by sending an email to Knowly at hello@knowly.co, specifying the cancellation request. In case of cancellation, Knowly will have no obligation to delete or return to Users any User Content.

23.     Notices and Changes to the Services


Knowly may provide notice to Users via email, regular mail, or post notices or links to notices on the Site. Knowly reserves the right at any time to modify, suspend or terminate the Services (or any part thereof), and/or use of or access to them, with or without notice. Knowly may also delete, or bar access to or use of, all related information and files. Knowly will not be liable to Users or any third-party for any modification, suspension, or termination of Services, or loss of related information.

24.    Further Correspondence


When creating an Account, Users agree to receive an email as confirmation of the Account creation. When completing a booking, Users agree to receive (i) an email, which Knowly may send to inform them of the booking completion, (ii) one or more emails, which Knowly may send to Users to remind them of an upcoming Class, and (iii) after a Class, an email to confirm the conclusion of such Class. Please refer to the Privacy and Cookies Policies for more information about how Knowly may contact Users. Knowly may send Users other emails to inform them about or confirm changes they have made to their Account, or profile, searches, calendar, or other areas of the Site.

25.    Limitation of Liability


To the maximum extent permitted by law, Users assume the sole and complete risk for using the Site and the Services, including the booking of any Classes via the Site, and any contact a User has with another User of the Site whether online or in person. However, circumstances may arise where, because of a breach of Contract on the part of Knowly or other liability, a User may be entitled to recover damages from Knowly. Regardless of the basis on which a User is entitled to claim damages from Knowly and except as expressly required by law without the possibility of contractual waiver, Knowly’s entire liability to pay damages as a direct result of a breach of Contract or tort shall be limited to only the actual loss incurred by the User which was directly and solely caused by Knowly in connection with or arising from the Contract. In any event, Knowly’s entire and aggregate liability to each User per calendar year shall in no circumstances exceed the greater of (a) one thousand euro (€1,000) or (b) the Service Fees paid by the User to Knowly in the twelve (12) months immediately preceding the event giving rise to the liability.

Except as expressly required by law without the possibility of contractual waiver, under no circumstances is Knowly liable for any of the following even if informed of their possibility:

Knowly and the Users intend that the limitation of liability in this Clause applies to claims due to all types of damages and actions, without affecting Knowly’s liability for death or personal injury arising from its negligence, nor its liability for fraudulent misinterpretation, nor any other liability that cannot be excluded or limited under applicable law.

26.    Assumption of Risk


Users acknowledge and understand that Knowly has no control over the conduct of Users or the suitability of Users contacted via the Site. Users agree to take all necessary precautions when interacting with other Users.

27.    Indemnification


BY USING THE SITE AND/OR SERVICES, USERS AGREE THAT ANY LEGAL REMEDY OR COMPENSATION THAT THEY SEEK TO OBTAIN FOR ACTIONS OR OMISSIONS OF OTHER USERS OR OTHER THIRD PARTIES WILL BE LIMITED TO A CLAIM AGAINST THE PARTICULAR USER OR USERS OR OTHER THIRD PARTIES WHO CAUSED THEM HARM AT THE EXCLUSION OF KNOWLY TO THE FULLEST EXTENT PERMITTED BY LAW.

USERS SHALL INDEMNIFY KNOWLY (AND ITS OFFICERS, EMPLOYEES, REPRESENTATIVES, AGENTS, SUBSIDIARIES AND SUCCESSORS), AGAINST ANY LIABILITY, DAMAGE, LOSS, EXPENSE, CLAIM OR COST (INCLUDING REASONABLE LEGAL FEES AND COSTS) SUFFERED BY KNOWLY ARISING FROM OR IN CONNECTION WITH: (A) INFRINGEMENT OF ANY THIRD PARTY RIGHTS DUE TO USER CONTENT; (B) ANY DAMAGE, LOSS, EXPENSE, CLAIM OR OTHER COST SUFFERED BY ANY OTHER USER IN RELATION TO THE USER CONTENT, OR TO ANY LESSON USERS MIGHT OFFER OR BOOK VIA THE SITE; OR (C) BREACH OF CLAUSE 5 (ELIGIBILITY), CLAUSE 9 (USER CONTENT), CLAUSE 10 (PRICES AND BOOKING TERMS) OR CLAUSE 17 (EXCLUSIVITY AND NON-CIRCUMVENTION).

28.    Governing Law


This Contract and all matters arising out of or relating to it (including non-contractual disputes or claims and their interpretation) shall be governed by the laws of England to the extent that such law is not overridden by applicable mandatory law, for example national consumer protection laws. Any claim or dispute arising out of or relating to this Contract (including non-contractual disputes or claims and their interpretation) shall be subject to the jurisdiction of the English courts. If a User is eligible as a consumer under, for example, national consumer protection laws, such User may elect to bring a claim in the court of his or her country of residence.

29.    Entire Agreement


These Terms constitute the entire agreement between a User and Knowly relating to their subject matter, and cancel, supersede and replace all prior oral or written understandings or agreements between Users and Knowly and all prior versions of the Terms. Users may not assign or otherwise transfer the Terms or any right granted hereunder, unless expressly authorized by Knowly.
